Equitable Relief

In addition to any remedies it may have at law, under these Terms of Use, or otherwise, you acknowledge and agree that a breach of these Terms of Use will cause irreparable harm that would be difficult to quantify. As a result, RM Insulation, LLC shall be entitled to seek injunctive and other appropriate equitable relief from any court of competent jurisdiction upon any such breach or threat of such a breach (without having to prove actual damages or post a bond).

RM Insulation, LLC, its affiliates, successors, advisors, licensors, and their respective directors, officers, shareholders, employees, and agents are all subject to indemnity, defense, and hold harmless from and against any losses, damages, costs, and expenses (including reasonable attorneys’ fees) resulting from your violation of these Terms of Use. This also covers any claims made by third parties as a result of your use of the Site or reliance on information on the Site, as well as any failure to meet your responsibilities for your account. RM Insulation, LLC retains the right to assume sole responsibility for the defense of any claim for which this provision requires indemnity. GOVERNING LAW

These Terms of Use are governed by and will be interpreted in accordance with the laws of the State of Florida, without regard to its conflicts of law principles. Subject to the “Equitable Relief” section of these Terms, any legal action or proceeding related to these Terms of Use shall take place in the state courts or the United States federal courts located in Palm Beach County, Florida. You agree to submit to the jurisdiction of these courts and waive any objections to venue therein.

GENERAL PROVISIONS

These Terms of Use shall apply to and bind your assignees and successors, as well as those of RM Insulation, LLC. Without RM Insulation, LLC’s prior written agreement, you are not permitted to assign or transfer your rights or duties under these Terms. The Company shall not be deemed to have waived its right to enforce any of these Terms in the future if it fails to do so now. Likewise, the inability to use a cure does not exclude the use of that remedy later on or the use of any other remedy. If any part of these Terms is found to be invalid or unenforceable, the remaining provisions shall still be in full effect. Headings in these Terms are for convenience only and do not affect the interpretation or construction of the Terms.
